PractiCali Law's Terms of Use

This website (or "Site") is made available to you by PractiCali Law in exchange for your adherence to the terms and conditions contained in these Terms of Use (or "Terms").  Thus, you agree to the Terms contained herein by visiting and using this Site, and you agree to abide by any and all pertinent laws of any applicable jurisdiction while using this Site.  Do not use this site if you do not agree to the Terms contained herein. 

For your convenience and ease of reading, we have broken down the following Terms into numbered subsections and abbreviated headings.  Please know that the arrangement of these sections (and their respective headers) are merely for formatting and ease-of-reading purposes, and that the order in which they appear are not indicative of any implied weight of importance.  Users should understand that all sections of these Terms are equally applicable to continued use of this Site. 

  1. Updates to these Terms and this Site:  PractiCali Law reserves the right to update these Terms at any time with or without any advanced noticed.  Any updates to these Terms will become effective immediately upon being published herein, and any continued use of this Site subsequent to the Terms being updated will constitute your agreement to abide by the updated Terms.  Similarly and based on any pertinent conditions herein, PractiCali Law at any time may temporarily or indefinitely choose to alter or terminate this Site without notice, either generally or specifically with regard to certain users.

  2. Incorporation of Privacy Policy:  PractiCali Law incorporates its Privacy Policy (which can be found here) into and as part of these Terms.  By using this Site, you agree to reasonably read, understand, and consent to our Privacy Policy, all of which are a prerequisite to your continued usage of this Site.  

  3. This website does not provide legal advice:  Any content and/or information contained in this website (or "Content") is/are being provided for illustrative and informative purposes only.  Such Content is only published for general information purposes.  Your specific circumstances are unique to you, and the Contents of this Site are general statements not applicable to any particular situation.  Thus, this Site does not provide legal advice, and there can be no interpretation that an attorney-client relationship has been formed by visiting this Site.  Please do not rely on the Contents of this Site prior to obtaining legal advice from an attorney licensed in your applicable jurisdiction.  Additionally, the Contents may be outdated, as this Site may not be timely updated to incorporate changes in the law.  Please note that the Contents are intended to be informative as they relate to California and/or Federal legal topics.

  4. No attorney-client relationship is formed by you visiting/using this Site:  An attorney-client relationship with PractiCali Law can only exist pursuant to the exhaustion of its internal client-onboarding process (including, but not limited to, the execution of an engagement letter and satisfactory completion of a conflicts check pursuant to the attorney Rules of Professional Conduct).  Once our internal client-onboarding process has been completed, PractiCali Law will then be able to provide legal advice.  Even then, a continued attorney-client relationship may still be subject to ongoing scrutiny as required by law and any applicable attorney rules of conduct/ethics.   We are only able to provide legal advice that relates to California and limited Federal matters; we do not seek to practice law in jurisdictions falling outside of our legal qualifications.  Furthermore, an attorney-client relationship is not formed when users submit communication to us by e-mail or via our Contact form on the Site; any and all such communications are not confidential and may be shared with third parties as prescribed in our Privacy Policy.  Users who (1) do not have an attorney-client relationship with PractiCali Law and (2) are hoping to receive legal counsel regarding a time-sensitive issue, legal deadline, and/or statute of limitations are encouraged to reach out to other attorneys as soon as possible.  Users who are experiencing an emergency should consider calling 911.  

  5. Intellectual Property Ownership and Licensing:  All Content and images on this Site, and the arrangement thereof (all collectively referred to as "Intellectual Property") are protected by certain intellectual property laws (including but not limited to trademark & copyright laws) for the benefit of PractiCali Law or any rightful owner(s) and/or licensor(s).  None of the Intellectual Property from this Site may be used without PractiCali Law's written permission unless otherwise authorized by the Terms herein.  If you believe any of the Intellectual Property on this Site infringes upon the rights of any applicable owner, please contact us immediately.  We intend to respect the intellectual property rights of others.  

  6. Approved and Prohibited Uses:  You may use this Site only for personal informational, noncommercial use, without modifying or altering its Contents or Intellectual Property.  Any use of this Site that goes beyond personal use must be authorized by PractiCali Law in writing.  Any sharing or linking to the Contents or Intellectual Property must not infringe upon the rights of PractiCali Law or any other owner(s)/licensor(s).  Any sharing or linking must also not assist third-party sites (like other social media platforms for example) in the infringement of said rights. 

  7. User-Submitted Communications:  By using this Site, you agree to visit, read, and understand to the best of your ability PractiCali Law's Privacy Policy.  Pursuant to these Terms and our Privacy Policy, any correspondence you submit via this Site is not confidential and therefore may be shared with third parties.  By submitting communications via this Site, you represent warrant and acknowledge that the information contained therein is accurate and true to the best of your knowledge and ability.  You also agree to not submit any content that would be illegal, obscene, harassing, misleading, infringing, superfluous (i.e. "spam"), and/or potentially damaging to computer hardware/software.  Examples of potentially damaging content may include, without limitation, viruses or malware.  You also understand that by submitting any communication via this Site, there is no guarantee that PractiCali Law (or its attorney(s)) will respond to you at all, or in a timely manner; all users are aware that there may be a statute of limitations applicable to their situation which may bar their ability to seek recourse through the courts/judicial system.  As such, users cannot and should not rely on PractiCali Law (or its attorney(s)) as the sole potential source of legal advise, counseling, and/or representation.

  8. Disclaimer of No Warranties:  TO THE MAXIMUM EXTENT ALLOWABLE BY LAW, PRACTICALI LAW DOES NOT PROVIDE ANY WARRANTIES OF ANY KIND, NEITHER EXPRESSED NOR IMPLIED, IN RELATION TO THE USAGE OF THIS SITE.  Thus, all visitors and users interact with this Site at their own risk.  For illustrative purposes, here is a non-exhaustive list of some of said risks for which PractiCali Law does not provide warranties: Content, accuracy, accessibility, cyber-security, computer viruses and malware, and etc.  

  9. Limitation of Liability:  NEITHER PRACTICALI LAW, NOR ITS OWNER(S), AGENTS, OR LICENSORS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES RESULTING OR RELATING FROM YOUR USE OF THIS SITE, WHICH INCLUDES, WITHOUT LIMITATION, ANY DAMAGES STEMMING FROM LOST PROFITS, LOST DATA, LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES.  WHEREIN THE EXCLUSION OR LIMITATION OF LIABILITY RELATING TO CONSEQUENTIAL AND/OR INCIDENTAL DAMAGES IS NOT ALLOWED BY THE APPLICABLE STATE(S) OR JURISDICTION(S), THE LIABILITY OF ANY OF OUR VENDORS AND/OR COMMERCIAL PROVIDERS SHALL BE LIMITED TO THE EXTENT PERMITTED BY LAW.  WHEREAS ANY PORTION OF THIS SECTION OF LIMITED LIABILITY IS NOT ENFORCEABLE AS A MATTER OF LAW, THE MAXIMUM LIABILITY OF PRACTICALI LAW WILL BE LIMITED TO, IN OUR EXCLUSIVE DISCRETION, EITHER THE REMOVAL OF ANY INCORRECT/INACCURATE LINK, OR THE REFUNDING OF ANY FEES WE OBTAIN FROM YOU.

  10. Indemnification:  With regard to your use of this Site, its Content and/or Intellectual Property, or any breach of the Terms herein, that results in any demands, claims, damages, liabilities, losses, costs, expenses or harms, (which includes, without limitation, any attorneys' fees), you agree to indemnify, hold harmless, and defend PractiCali Law, its owner(s), providers, agents, and contractors.

  11. Dispute Resolution:  For any dispute between you and PractiCali Law that relates to this Site, our Terms, and/or our Privacy Policy, you agree and promise to engage in good faith efforts to cooperate and negotiate a mutually reasonable resolution.  Any disputes that cannot be resolved as such shall be submitted to binding arbitration in San Francisco, California, and any such proceedings will be arbitrated pursuant to the rules of the American Arbitration Association.  An award made by a sole arbitrator will be rendered within thirty days of the close of evidence.  Said arbitrator shall not be authorized to award costs or punitive damages unless we agree in writing thereto.  You and PractiCali Law agree to waive any rights to a jury trial and that any arbitration award is final and binding.  As an exception to this Dispute Resolution section, and in the event that either you or PractiCali Law intend to prevent any unauthorized use, sharing, disclosure, and/or dissemination of their respective confidential or proprietary information (or such information that belongs to a third party that either of us have a duty to protect in confidence) then either you or PractiCali Law may pursue adjudication through a court of proper venue and jurisdiction in California.

  12. Non-Enforcement Does not Constitute Waiver; Promise to Comply:  In any event that PractiCali Law does not enforce the provisions of these Terms, either in whole or in part, such non-enforcement shall not constitute waiver of enforcing any portion of these Terms.  In the event that PractiCali Law reaches out to you in an attempt to enforce these Terms, you agree to fully comply with all reasonable requests.  Should you learn of or become aware of any actual or suspected breach of these terms, you agree to contact us immediately to inform us of such breach(es).

  13. Applicable Law and Interpretation:  To the maximum extent possible, these Terms shall be governed by the laws of the State of California.  Should any portion of these Terms be deemed unenforceable, invalid, or void as a matter of law, the affected portions shall be preserved or interpreted to the extent that would allow enforcement that is consistent with the intent of such portions; all other remaining portions shall continue to remain in full force and effect, and the entire Terms shall be interpreted and enforced in light of the intent and spirit of the entirety of the Terms. 

  14. Exclusive Terms of Use: These Terms represent the entire and exclusive agreement between you and PractiCali Law with respect to your use of the Site, Contents, and/or Intellectual Property.  These Terms supersede any prior, collateral, and/or subsequent agreement(s) relating to your Use of this Site.  These Terms shall remain in effect and apply even subsequent to any termination of this Site.  

  15. Links to this Site:  Users of this Site are permitted to link to any of the Site's pages, subject to immediate notification thereof to PractiCali Law by e-mailing info@practicali.law.  PractiCali Law reserves the right, in its sole discretion, to qualify any user linking as improper and therefore request to you to delete, remove, modify, and/or correct such linking.  Upon receipt of such a request from us, you agree to fully comply to all aspects of such a request.

  16. Not advertising:  By providing this Site for use, PractiCali Law is not intending to solicit business and/or have he Site serve as an advertisement for business. 

  17. No Endorsements:  Should this Site include any links or logos of and to any third-party, such as, without limitation, social media sites and electronic maps, you understand that such links are not an indication of endorsement or approval from PractiCali Law about the linked party or linked content.  Users understand that PractiCali Law is not responsible for the content of such linked sites/content.
